Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software services ("Services") provided by PlenDesk ("we", "us"), a Swiss sole proprietorship registered at Lindachstrasse, 3038 Kirchlindach BE, Switzerland. The Services include pd_watchdog and any other PlenDesk sub-applications offered under the same account.
By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
PlenDesk operates software-as-a-service applications for monitoring, coordination, and notification. Specific functionality varies by product (e.g. pd_watchdog provides check-in monitoring with SMS, email, voice and push notifications).
We may add, remove, or change features over time. Where a change materially reduces the Services you have paid for, we will give you reasonable notice and a refund where appropriate.
2. Your account
You need an account to use the Services. Authentication is provided through Clerk. You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately at privacy@plendesk.com if you suspect unauthorised access.
You must be at least 16 years old to use the Services. If you create an account on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
3. Acceptable use
You agree not to:
- Use the Services to send unsolicited messages, spam, harassment, or any content that is illegal under Swiss or your local law;
- Configure check-ins or notifications in a way that violates the monitored person's rights or applicable consent requirements;
- Reverse engineer, decompile, or attempt to extract the source code of the Services;
- Probe, scan, or otherwise test the security of the Services without our prior written permission;
- Use the Services in any way that could damage, disable, or impair them, or interfere with any other party's use.
We may suspend or terminate your account if you violate these rules. Severe or repeated violations may also be reported to law enforcement.
4. Subscriptions, payments, and refunds
Paid plans are processed through Lemon Squeezy as our Merchant of Record. Lemon Squeezy is the contractual seller of the subscription and handles payment, tax collection, invoicing, and any refund requests. The terms of payment are governed by Lemon Squeezy's Terms of Service and their Refund Policy. We do not store credit card data; please direct payment-related inquiries first to Lemon Squeezy support.
Service-related questions (cancellation effect on your data, downgrades, plan limits, credit usage) remain with us — contact privacy@plendesk.com.
5. Service availability — no warranty
We provide the Services on a best-effort basis. While we monitor uptime continuously and aim for high availability, we do notguarantee any specific service level, uptime, or response time. The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including (but not limited to) implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Critical reliance disclaimer: pd_watchdog provides notification reminders for check-in monitoring. It is not a substitute for emergency services, medical monitoring, or any safety-critical alarm system. You must not rely on PlenDesk for life-safety scenarios where a missed notification could cause harm.
6. Limitation of liability
To the maximum extent permitted by Swiss law, PlenDesk's total liability arising out of or in connection with these Terms or your use of the Services is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or CHF 100, whichever is greater.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages. This limitation does not apply where prohibited by mandatory law (notably, gross negligence or wilful misconduct under Swiss law).
7. Termination
You may terminate your account at any time by deleting it through your Clerk account settings. Upon deletion, your personal data is cascaded out of our systems automatically (see our Privacy Policy). Active paid subscriptions remain billed until the end of the current billing period unless cancelled separately through Lemon Squeezy.
We may suspend or terminate your access to the Services if you materially breach these Terms, with notice where practical.
8. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. Material changes will be communicated through the Services or by email. Continued use after a change constitutes acceptance.
9. Governing law and jurisdiction
These Terms are governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Kirchlindach, Switzerland, subject to mandatory consumer-protection venues that may apply in your jurisdiction.
